OFFICIAL RULES

By entering the #HuntLikeLegends Photo Contest (the "Contest") and/or the #HuntLikeLegends Photo Sweepstakes (the "Sweepstakes"), you agree to be bound and abide by the following official rules (the "Official Rules"). Unless indicated otherwise, these Official Rules apply equally to the Contest and the Sweepstakes unless indicated otherwise.

NO PURCHASE NECESSARY TO ENTER OR WIN.

A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

  1. PROMOTION PERIOD:
    The Promotion begins at 12:01 AM Central Daylight Time ("CDT") on March 14, 2016 and ends at 11:59 PM CDT on May 16, 2016 ("Promotion Period"). Sponsor's designated computer is the official time clock for the Promotion.
  2. SPONSOR:
    The sponsor of the Contest and Sweepstakes is Plastic Research and Development Corporation dba Knight & Hale Game Calls ("Knight & Hale" or "Sponsor"), located at 2600 Corporate Drive, Suite 250, Birmingham, Alabama 35242.
  3. ELIGIBILITY:
    The Contest and Sweepstakes are open only to legal residents of the United States and the District of Columbia, who are at least eighteen (18) years of age or the legal age of majority in the jurisdiction in which he/she resides, as of date of entry.

Employees, directors, officers, agents and representatives of Sponsor and its parent, subsidiaries, affiliates, and all of their respective agents, representatives, advertising, promotion, publicity, fulfillment agencies, suppliers, distributors, and any other entity or person involved with the development, production, design, distribution, administration or execution of this Sweepstakes (collectively, "Affiliated Parties"), as well as the immediate family members (i.e., spouses, parents, children, siblings and their respective spouses, regardless of where they reside) and persons residing in the same household of any Affiliated Parties, whether or not related, are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited or restricted or by law.

 

  1. How to Enter: To participate, you must have a Twitter or Instagram account. Accounts are free but subject to Twitter's Terms of Service (https://twitter.com/tos) and Instagram's Terms of Use (https://help.instagram.com/478745558852511/). Your account settings must be set to "unprotected" and/or "public" in order for your Tweets or posts to be viewable by Sponsor and its agents. If you post updates to or receive updates from www.twitter.com via SMS from your wireless phone, message and data rates may apply. Posting content to Instagram requires a mobile device. Message and Data rates may apply. Please consult your wireless-service provider regarding its pricing plans.

 

During the promotion Period, log in to your Twitter or Instagram account and tweet or post a photo that displays a turkey hunting related photo, along with @Knightandhale and the hashtags #HuntLikeLegends in your description. Your photo and description will hereafter be collectively referred to as your submission ("Submission").

      1. Submit a Qualifying Photo (defined in Section 7) by any of the following methods:
        • Upload your Qualifying Photo to : http://bit.ly/1OJ9QvI. by following all of the onscreen instructions.
        • Upload your Qualifying Photo to your account on Instagram with the tags #HuntLikeLegends and @Knightandhale
        • Upload your Qualifying Photo to your account on Twitter with the tags #HuntLikeLegends and @knightandhale.
        • Submit your Qualifying Photo by mail with proper postage to: Knight and Hale #HuntLikeLegends Sweepstakes (2016) and Photo Contest, 2600 Corporate Drive, Suite 250 Birmingham, AL 35242. All mailed entries must be received by May 16, 2016. Mail entries must include your complete name, mailing address, phone number, email address and age.
      2. On a postcard (no smaller than 3 ½ x 5 inches and no larger than 4 ¼ x 6 inches), handwrite your complete name, mailing address, phone number, email address and age and mail with proper postage to: Knight and Hale #HuntLikeLegends Sweepstakes (2016) and Photo Contest, 2600 Corporate Drive, Suite 250 Birmingham, AL 35242. All mailed entries must be received by May 16, 2016.

Entering into the Sweepstakes using the method described in Section 5(i) automatically enters you into the Contest.

By Tweeting or posting your Submission, you agree that it conforms to the guidelines, permissions, and content restrictions below and that Sponsor, in its sole discretion, may disqualify you if it believes that it fails to conform.

  1. LIMITATIONS ON ENTRIES:

Guidelines: · The Submission must be in a format and size acceptable on Twitter or Instagram (as applicable); · The Submission must contain a description that includes @UnderArmour the hashtags #RuleYourself and #UAContest; and · The Submission's description must be in English.


The following limitations apply to all Entries for the Sweepstakes and the Contest:

Limit one (1) Entry per person, per day during the Promotion Period. Each Qualifying Photo submitted is considered one (1) Entry. Entries must be received within the Promotion Period to be eligible. Sponsor reserves the right, in its sole and absolute discretion, to disqualify any Entry that, or entrant who, does not comply with these Official Rules. Entrants/Entries subject to all notices posted online at www.knightandhale.com including but not limited to Sponsor's privacy policy. No mechanically reproduced Entries of any kind permitted. Illegible and incomplete Entries are void. Sponsor is not responsible for lost, late, mutilated, postage due, misdirected Entries or Entries not received. Proof of submitting an Entry does not prove the receipt of that entry by the Sponsor. All Entries are subject to eligibility verification by the Sponsor, which reserves the right to disqualify any Entry in its sole discretion.

A "Qualifying Photo" must meet all of the following conditions:

    • Photographs must be related to turkey hunting.
    • Photographs must clear.
    • Photographs must be original to and owned by the entrant. It may not include any element in which the copyright, patent, trademark, trade secret, trade dress, right of privacy, right of publicity, moral rights or other intellectual property right recognized by statute, judicial decision or regulation are not owned by you, or which are used without permission (such as company names, music, photographs, works of art, or images published on or in websites, television, movies, or other media) of its owner or which are not in the public domain.
    • Photographs may not contain or use materials embodying the names, likenesses, or other identifying elements of any person, living, or dead without permission.
    • While full size, digital photographs are preferred, high-quality scanned images of non-digital photographs are acceptable.
    • The photograph must not, in the sole and unfettered discretion of the Sponsor, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content.
    • The photograph must not violate any law.

Entries are void if Sponsor determines the photograph to not be in compliance with the foregoing, or if the entries are illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft or which otherwise violate these Official Rules.

Sponsor's Use of Submissions: Uploading a Submission constitutes entrant’s (or entrant's parent/legal guardian's, if entrant is a minor) consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission.

  1. LICENSE:
    By submitting an Qualifying Photo as an Entry to the Sweepstakes or Contest, you hereby grant to Sponsor a non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publish, delete or display such Qualifying Photo, or any portion thereof, in any media now known or hereafter devised without any further right of approval or consideration. You authorize Sponsor to utilize, for eternity and in any manner they see fit, the Qualifying Photo submitted to Sponsor, and to make derivative works from such material. You agree that the results and proceeds of such use shall become the property of Sponsor and/or Sponsor's licensees, and shall be freely assignable by Sponsor and that Sponsor and its assignees and licensees shall have no obligations whatsoever to you. Once submitted, a photograph may not be deleted, canceled, or modified.
  • SWEEPSTAKES PRIZES:
    The following prizes will be awarded separately as Sweepstakes prizes in random weekly drawings throughout the Promotion Period, beginning the week of March 21, 2016 and ending May 16, 2016: Custom Knight & Hale #HuntLikeLegends Pot Call (ARV: $50)

The assortment and quantity of Sweepstakes prizes to be given away each week to be determined by the Sponsor in its sole and absolute discretion.

CONTEST PRIZES:

One winner, selected 5/16/16, will receive the following Grand Prize package:

  1. ODDS OF WINNING SWEEPSTAKES:
    Odds of winning each weekly Sweepstakes drawing will depend on the number of eligible Entries received.

WINNER SELECTION AND NOTIFICATION:
Sweepstakes: Each week during the Promotion Period (beginning March 14, 2016), a winner from the Sweepstakes entries will be selected in a random drawing from all eligible entries received at the time of the drawing. The random weekly drawings will take place approximately one (1) day after the conclusion of the applicable week. For purposes of these Official Rules, a week is a seven (7) day period beginning on Monday at 12:00 AM (Midnight) and ending on the following Sunday at 11:59 PM (all times Central), (except for final week of the Promotion Period which, will end on March 16, 2016 at 11:59 PM). Any entrant that is selected as a Sweepstakes winner is ineligible to participate in the subsequent Sweepstakes drawings. Contest: On or about March 16, 2016, a panel of judges (the "Panel") consisting of employees of Sponsor will select the Grand Prize Contest winner. The Panel will select the Grand Prize winner based on the based on the following criteria: (1) Creativity/Originality (33%); (2)Quality of Submission (33%); and (3) Fit to Contest Theme (34%). The decision of the Panel is final and binding.

Potential winners will be notified by @Knightandhale on Twitter or Instagram (as applicable) on or around the day following the conclusion of each Entry Period.

Each Sweepstakes and Contest winner ("Winners") will be notified by email, mail and/or telephone and must respond to Sponsor within ten (10) days from date of such notification. The manner of notification is at the sole discretion of Sponsor. Each Winner must follow the instructions given and comply with all terms and conditions set forth in these Official Rules to collect any prize.

At Sponsor's sole discretion, Winner(s) may be required to complete and return an Affidavit, Declaration or Certificate of Eligibility, along with any other documentation reasonably required by Sponsor for prize fulfillment (collectively the "Fulfillment Documentation") within ten (10) days of receipt of such Fulfillment Documentation. If the prize notification or any Fulfillment Documentation is returned as undeliverable, the Winner will be disqualified.

No prize transfer, assignment, or substitution by any Winner is permitted. If the prize (or part of the prize) is unavailable, the Sponsor, in its discretion, reserves the right to substitute the original prize (or that part of the prize) with an alternative prize with equal monetary value and/or specification, unless to do so would be prohibited by law.

ENTRANT'S NONCOMPLIANCE WITH THESE OFFICIAL RULES MAY RESULT IN DISQUALIFICATION AND SELECTION OF AN ALTERNATIVE POTENTIAL WINNER.

  1. LIMITATION OF LIABILITY:
    By participating in this Sweepstakes or the Contest, you agree to release, discharge and hold harmless Sponsor and its Affiliates from and against any injuries, losses, damages, claims, actions or liability of any kind resulting from the entrant's participation in the Sweepstakes or Contest. By receipt of any prize, each Winner agrees to release and hold harmless Sponsor and its Affiliates from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or Contest or receipt, use, or misuse of any prize. Sponsor is not responsible for: (i) lost, late, misdirected, damaged, or illegible Entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Sweepstakes or Contest.
  2. MISCELLANEOUS:
    Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. If, in Sponsor's opinion, there is any evidence of tampering with any portion of the Sweepstakes or Contest, or if a computer problem, including an intentional human intervention or a computer virus, adversely affects the integrity, administration, or security of the Sweepstakes or Contest, Sponsor reserves the right at its sole discretion to: (a) disqualify any individual who is suspected of tampering with the Sweepstakes or Contest entry process; (b) withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes or Contest); (c) void any fraudulent entries; and/or (d) cancel, modify, temporarily suspend, or terminate the Sweepstakes or Contest. If the Sweepstakes or Contest is terminated, the Sponsor will conduct a random drawing to award prizes using all properly-submitted eligible Entries received as of the date of the termination. Should the Sweepstakes or Contest be terminated or modified prior to the expiration date listed in these Official Rules, notice will be posted on www.knightandhale.com. If Sponsor elects to cancel or terminate the Sweepstakes or Contest, Sponsor will not retain any rights in the submitted photographs.

Submission of contact information in connection with the Sweepstakes or Contest (whether or not required), including mailing address, phone number, and email address, during entry constitutes permission for Sponsor to add entrant to Sponsor's customer database and to contact entrant in the future for promotional and other reasons. You may opt-out of receiving such communications as set forth in Sponsor's Privacy Policy (located at www.knightandhale.com) or as provided within any such marketing materials (e.g., using the "Unsubscribe" feature provided in the footer of Sponsor's emails).

Participants have the right to access, review, rectify or cancel any personal data held by Sponsor by writing to Sponsor at 2600 Corporate Drive, Suite 250 Birmingham, AL 35242. Personal data will be used by Sponsor and its affiliates exclusively for the purposes stated herein.

By entering, entrants also agree (a) to be bound by these Official Rules; (b) that the decision of Sponsor is final and binding with respect to all matters relating to the Sweepstakes; (c) that the decision of the Panel is final and binding with respect to all matters relating to the Contest; and (d) if the entrant wins, that Sponsor may use the winning Entry and Winner's name, photograph, likeness, and/or voice in any publicity or advertising relating to the Promotion or future promotions without compensation or approval (except where prohibited by law).

The Sponsor reserves the right to verify the validity and originality of any entry and/or entrant (including an entrant's identity and address) and to disqualify any entrant who submits an Entry that is not submitted in accordance with these Official Rules or who tampers with the entry process. Failure by the Sponsor to enforce any of its rights at any stage does not constitute a waiver of those rights.

  1. LEGAL DISPUTES:
    By participating in the Sweepstakes or Contest, you agree that any and all issues, questions, disputes and claims of any kind or nature whatsoever, resulting from, arising out of or in any way connected with the Sweepstakes or Contest shall be construed in accordance with and governed by the laws of the state of Alabama. You hereby consent to the jurisdiction of the state courts of Alabama and/or the U.S. District Court for the Northern District of Alabama. Any dispute or litigation resulting from, arising out of or in any way connected with the Sweepstakes or Contest shall be brought solely in the state courts of the state of Alabama situated in Shelby County, Alabama, United States of America or the U.S. District Court for the Northern District of Alabama. You further agree that any claims brought against the Sponsor shall be limited to the actual costs incurred by you due to your participation in the Sweepstakes or Contest. Attorney's fees may not be awarded. You expressly agree to waive any claim of punitive, incidental or consequential damages.
  2. WAIVER OF RIGHT TO JURY TRIAL: BY PARTICIPATING IN THIS PROMOTION, YOU IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR CONTEST OR THESE OFFICIAL RULES.
  3. PRIZE WARRANTY:
    Sponsor has neither made, nor is responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relating to any prize, including but not limited to, the quality, merchantability, habitability, mechanical condition, safety or fitness of any prize.
  4. TAXES:
    The Winner will be responsible for the reporting and payment of all federal, state and local taxes and other applicable fees, service charges, surcharges associated with prize receipt and use. The valuation of each prize stated above is based on available information provided to Sponsor, and the value of any prize awarded to a Winner must be reported for tax purposes as required by law. The Winner must provide Sponsor with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning more than $600 in prizes in the Sweepstakes or Contest will receive an IRS form 1099 at the end of the calendar year and a copy of such form must be filed with the IRS.
  5. WINNERS LIST/RULES REQUEST:
